Introduction
The following Terms and Conditions (“Terms & Conditions” or “Terms” or “T&C’s”) govern all use of the [https://engage.enginuity.org & https://enginuity.mp.filtered.com/ & https://academy.enginuity.org] (“the Site”), including any use or viewing of any Content, services and products available through the Site, by Site visitors and participants (collectively, “Users”), both registered and unregistered users( and also referred to as “You” or “Your”).
The Site is operated by Science, Engineering and Manufacturing Technologies Alliance trading as Enginuity (“We”). We are registered in England and Wales under company number 02324869 and have our registered office at Unit 2, The Orient Centre, Greycaine Road, Watford, Hertfordshire, WD24 7GP.
The Site and associated services are offered to each User subject to such User’s acceptance of all of these Terms and all other applicable Terms and conditions, operating rules, policies and procedures that are communicated from time to time on or through the Site by Enginuity.
It is important that as a User, you take the time to read these Terms carefully before browsing or accessing the Site or any Content or Services. By browsing, accessing or using any part of the Site, including the registration by a Registered User to open an account (a “User Account”), a User agrees to be bound by these Terms. If a User disagrees with or cannot follow these Terms & Conditions (in part or in whole), then such User should not browse or access the Site, use any Services or register to create a User Account.
These Terms outline what you can expect from our Site, and how we expect to operate it. It also outlines how we expect you to behave and act when using this Site and our products and services.

Our Site- General Description
Engage by Enginuity is an online content hub and learning tool. It offers 2 distinct areas for user to interact with. “The Research Hub”, provided by our selected partner FILTERED, offer a quick way to get personalised content suggestions from the wider internet and our curated Engineering and Technology specific sector content.
“The Academy”, provided by our selected partner ABSORB LMS is our area for progressing through our deeper learning activities on a wide variety of content.
Our Research Hub is deliberately configured to allow anonymous use, users only need to create a User Account to store your preferences and/or use “The Academy”.

Accessing our Site
Our Site is made available free of charge until such time that these Terms are updated.
We do not guarantee that our Site, or any content on it, will always be available or be uninterrupted. Access to our Site is permitted on a temporary basis. We may suspend, withdraw, discontinue or change all or any part of our Site without notice. We will not be liable to you if for any reason our Site, or linked Sites, are unavailable at any time or for any period.
You are responsible for making all arrangements necessary for you to have access to our Site.

User Registration on the Site
To access certain features on our Site, you may be required to open a User Account (including setting up a username and password). When registering, you must provide accurate and complete information.
If you register as a User, or you are provided with, a User Account including identification code/name, password or any other piece of information as part of our security procedures, you must treat this information as confidential. You must not disclose it to any third party.
Users understand and acknowledge that they should provide the Site only with data and information that is true, accurate and to keep this data and information accurate, true and updated always. The processing of User’s personal data is subject to the Terms of our Privacy Policy.
We reserve the right to refuse to open a User Account and/or to delete or suspend the User Account if it comes to our attention and/or if it is notified by a third party that the Registered User is not a professional and/or the User Account/Profile has fake or false or non-accurate data, at any time
We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms of use.

Acceptable Use of our Site
Your use of our Site means that you accept, and agree to abide by, these Terms & Conditions and all additional applicable Terms.
You may use our Site only for lawful purposes and in agreement with these Terms.
You may not use our Site:
- In any way that breaches any applicable local, national or international law or regulation.
- In any way that is unlawful or fraudulent or has any unlawful or fraudulent purpose or effect.
- For the purpose of harming or attempting to harm minors in any way.
- To send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards or these Terms.
- To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam).
- To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.
We may from time to time provide interactive services on our Site, including, without limitation:
- Live Chat
- Chat bots
- Feedback surveys
We will do our best to assess any possible risks for users (and, in particular, for children) from third parties when they use any interactive service provided on our Site, and we will decide in each case whether it is appropriate to use moderation of the relevant service (including what kind of moderation to use) in the light of those risks. However, we are under no obligation to oversee, monitor or moderate any interactive service we provide on our Site, and we expressly exclude our liability for any loss or damage arising from the use of any interactive service by a user in contravention of our content standards, whether the service is moderated or not.
The use of any of our interactive services by a minor is subject to the consent of their parent or guardian. We advise parents who permit their children to use an interactive service that it is important that they communicate with their children about their safety online, as moderation is not fool proof. Minors who are using any interactive service should be made aware of the potential risks to them.
Where we do moderate an interactive service, we will normally provide you with a means of contacting the moderator, should a concern or difficulty arise.

The Content on this Site (including any enclosures and /or attachments) has been prepared for the general use and benefit of users of this Site and solely for the purpose of self-development. It is not provided as advice or guidance or held out as suitable for any specific requirements or needs and it does not provide the user with any qualification. Neither we nor the Licensor of this Content accept any duty of care or liability for use of this Content either to the User, or to any third party.
Although we make reasonable efforts to update the Content of this Site, we make no representations, warranties or guarantees, whether express or implied, that the content on our Site is accurate, complete or up to date.
Where our Site contains links to other Sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those Sites or resources.

We may update our Site from time to time and may change the Content at any time. However, please note that any of the content on our Site may be out of date at any given time, and we are under no obligation to update it.

Intellectual property rights
Except as otherwise indicated, the Site and all text, images, marks, logos and other Content contained herein, including, without limitation, the logo and all designs, text, graphics, pictures, information, data, software, sound files, other files, and the selection and arrangement thereof are the proprietary property of Enginuity or its licensors and are protected by applicable intellectual property laws. You may not modify, reproduce or publicly display, perform, or distribute or otherwise use any such information or materials for any public or commercial purpose except in accordance with the Terms of Site. A User may not copy, reproduce, publish, transmit, distribute, perform, display, post, modify, create derivative works from, sell, license, or otherwise exploit the Site or any materials on the Site, except as expressly permitted by these Terms or other applicable policies. You must not delete or alter any copyright, trademark or other proprietary rights notices from copies of materials or Content.
The Enginuity logo and the Logo of any licensors including name and all other product or service names or slogans of displayed on the Site are trademarks of Enginuity or our Licensors and may not be copied, imitated or used, in whole or in part, without the prior written permission of Enginuity. In addition, the look and feel of the Site may not be copied, imitated or used, in whole or in part, without the prior written permission of Enginuity. All other trademarks, including registered trademarks, product names and company names or logos mentioned in the Site are the property of their respective owners. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by Enginuity.
The Site provides Registered Users with a personal, non-transferable, non-exploitable, non-exclusive, open-ended one user license to access the Site and the Content hosted on the Site only for legitimate private use purposes under the present Terms and conditions. It is expressly forbidden to use the Content for illegal purposes and/or for professional exploitation and particularly for commercial purpose without the prior written consent from Enginuity or our appropriate Licensors. Users may not sublicense the use of, or the access to the Site and the services to any third party with or without remuneration. The present license shall be automatically terminated when the relationship with the Site is terminated for any reason, as outlined in article 10.
The rights to use the Site are limited to those expressly granted hereby. No other rights with respect to the Site or any related intellectual property rights are granted or implied.
If you print off, copy or download any part of our Site in breach of these Terms of use, your right to use our Site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

Limitation of our liability
Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
To the extent permitted by law, in no event will Enginuity, its affiliates or their licensors, service providers, employees, agents, officers or directors be liable for damages of any kind, arising out of or in connection with your use, or inability to use, the Site or any content on the Site including any direct or indirect damages, including but not limited to, personal injury, loss of revenue, loss of profits, loss of savings, loss of business, loss of reputation, loss of data; whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.
We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our Site or to your downloading of any content on it, or on any website linked to it.
We assume no responsibility for the content of websites linked on our Site. Such links should not be interpreted as endorsement by us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them.

Viruses
We are responsible to take steps to ensure that our products and services are secure, maintained and free from viruses. We also have robust policies and agreements in place to ensure our selected partners also work to these same standards. However, we cannot make any guarantee that our Site will be secure or free from bugs or viruses.
As a User, you are responsible for configuring their information technology, computer programs in order to access our Site. You are responsible for your own virus protection software.
You must not misuse our Site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our Site, the server on which our Site is stored, or any server, computer or database connected to our Site. You must not attack our Site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authority, and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Site will cease immediately.

Termination
A Registered User may at any time decide to delete a User Account and profile by emailing us at [email protected] with a request to delete the User Account and Profile. In such instances Users data will be managed in compliance with our Privacy Policy.
We may terminate a User’s access to all or any part of the Site without Prior notice.
We reserve the right without limitation to suspend or delete any User Account for any of the following reasons.
- any violation of these Terms or any other illegal act or omission in breach of any law
- any act or omission which that could damage the reputation of the Site or Enginuity or its Licensors
- provision of false/inaccurate information in the User Account
- any other or omission that could damage or harm in any way the Site
- as a result of the notice and take down process described in article 2 And 10.

Applicable law
These Terms, it’s subject matter and its formation, are governed by the law of England and Wales. The courts of England and Wales will have exclusive jurisdiction.

The following additional applicable Terms also govern and apply to the Users of the Site:
- Our Privacy Policy, which sets out the Terms on which we process any personal data we collect from you, or that you provide to us. By using our Site, you consent to such processing and you warrant that all data provided by you is accurate.
- Our Cookies Policy, which explains how uses cookies and similar technologies to recognise you when you visit our Site
- Our Website Terms and Conditions.
These Terms and the additional applicable Terms shall bind all parties and constitute the entire agreement.
If individual Terms of these Terms & Conditions become partially or wholly invalid or expire, the remaining provisions shall not be affected.
We reserve the right to change, add or remove portions of these Terms from time to time. Please ensure that you review these Terms regularly as you will be deemed to have accepted a variation if you continue to use the Site after any variation has been posted.
